You represent that you have the right to grant this license for any content you submit.

9. Fees and Payment

Where a service or program is provided for a fee, the applicable fees and payment terms will be described in the relevant program description or agreement. You agree to pay all fees when due and to provide accurate billing information. Unless otherwise stated, fees are non-refundable except as expressly provided in these Terms or in the applicable agreement.

The Company may revise fees for its services from time to time. Any change in fees will not affect services for which you have already paid, unless otherwise agreed in writing.

You are responsible for any taxes, duties, or other charges imposed in connection with your purchase, except where applicable law requires the Company to collect such amounts. If a payment is declined or reversed, we may suspend or terminate your access to the relevant service until payment is completed.

10. Program Enrolment and Cancellation

Enrolment in a program is confirmed when we accept your application and any required payment has been processed. Program schedules, instructors, and content may be adjusted from time to time to maintain quality and relevance. We will make reasonable efforts to notify you of any material changes to a program for which you have enrolled.

If you wish to cancel or reschedule a program, you must contact us using the details below. Cancellation and refund rights, if any, are described in the applicable program terms or agreement. We reserve the right to cancel a program if minimum enrolment is not met, in which case we will provide a full refund of any fees paid for that program.

Attendance requirements, assessment rules, and certification criteria are communicated as part of each program. Failure to meet those requirements may affect your eligibility to receive a certificate or to continue in the program, in accordance with the program terms communicated to you at enrolment.

11. Disclaimer of Warranties

The website and services are provided on an as is and as available basis, without warranties of any kind, whether express or implied. To the fullest extent permitted by law, the Company disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

The Company does not warrant that the website will be uninterrupted, secure, or error-free, that defects will be corrected, or that the website or the servers that make it available are free of viruses or other harmful components. Any content obtained through the use of the website is obtained at your own discretion and risk.

Some jurisdictions do not allow the exclusion of certain warranties, so some or all of the exclusions above may not apply to you. In such cases, the exclusions apply to the fullest extent permitted by applicable law. Nothing in these Terms is intended to exclude any warranty that cannot lawfully be excluded.

12. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall Pas Institute Inc., its directors, officers, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of the website or services.

To the extent permitted by law, the total aggregate liability of the Company for all claims arising out of or relating to these Terms or the website or services shall not exceed the amount you paid to the Company, if any, in the twelve months preceding the event giving rise to the claim, or one hundred Canadian dollars if you have not paid any fees.

13. Indemnification

You agree to defend, indemnify, and hold harmless Pas Institute Inc., its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses, including reasonable legal fees, arising out of or in any way connected with your use of the website or services, your violation of these Terms, or your violation of any rights of a third party.

The Company reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with the Company in asserting any available defences.

This indemnification obligation survives the termination of these Terms and your use of the website and services. It applies to all claims arising out of or relating to your conduct, whether asserted during or after the period in which you used the website or services.

14. Third Party Services

The website or our services may include links to, or integrations with, third party websites, applications, or services that are not owned or controlled by the Company. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third party.

Your use of any third party service is subject to the terms and conditions of that third party, and you should review those terms before using the service. The inclusion of a link or integration does not imply endorsement by the Company.

15. Termination

We may suspend or terminate your access to the website or services, in whole or in part, at any time, with or without notice, if we reasonably believe that you have violated these Terms or if such action is necessary to protect the security or integrity of our services. We may also terminate access for convenience where permitted by law.

Upon termination, your right to use the website and services will cease immediately. Provisions of these Terms that by their nature should survive termination, including intellectual property, disclaimer, limitation of liability, and indemnification, will continue to apply.

Termination of your access does not relieve you of any obligation to pay fees owed for services already provided, nor does it limit any other remedies available to the Company at law or in equity. If you wish to reactivate access after termination, you may contact us and we will evaluate your request in our discretion.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in British Columbia, Canada, for the resolution of any dispute arising out of or relating to these Terms.

Before initiating formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us. We will make reasonable efforts to resolve the dispute amicably within a reasonable period before either party pursues further action.

Any cause of action you may have arising out of or relating to these Terms or the website must be commenced within one year after the cause of action accrues. Otherwise, that cause of action is permanently barred, except where applicable law does not permit such a limitation.

17. Changes to These Terms

We may update these Terms of Service from time to time to reflect changes in our practices, services, or legal requirements. When we make changes, we will update the last updated date at the top of this page and, where appropriate, provide additional notice.

Your continued use of the website or services after any changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you should stop using the website and services.

If we make a material change to these Terms, we will provide a more prominent notice where practicable, such as a message on our homepage. Changes will not apply retroactively, and any dispute arising before a change will be governed by the version of these Terms in effect at the time the dispute arose.
